Terms of Service

By registering for or using the Viralays platform, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be bound by them. These Terms constitute a legally binding agreement between you and Viralays Technologies Pvt. Ltd.

We may revise these Terms at any time. When we make material changes, we will notify you by email and/or by displaying a prominent notice on the platform. Your continued use of the platform after the effective date of the revised Terms constitutes your acceptance of those changes.

These Terms are in addition to any other agreements you may have with us, such as a subscription agreement or API terms. In case of conflict, the more specific agreement will prevail.

Viralays grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the platform for your personal, non-commercial research and analysis purposes, subject to these Terms. You may not use the platform on behalf of a third party without a separate written agreement.

You agree to use the platform only for lawful purposes and in a manner consistent with all applicable Indian laws and regulations. You are responsible for all activity that occurs under your account and for maintaining the security of your login credentials.

We reserve the right to modify, suspend, or discontinue any feature of the platform at any time with reasonable notice, without liability to you. We will endeavour to provide 7 days' advance notice for any material changes to existing features.

To access the full features of Viralays, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep this information updated. Providing false information is grounds for immediate account termination.

You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account. You must notify us immediately at security@viralays.com if you suspect any unauthorised use of your account. Viralays is not liable for any loss resulting from unauthorised account access due to your failure to safeguard your credentials.

We may verify your identity or require additional information at any time, particularly for high-volume API usage or corporate accounts, in order to comply with applicable Know Your Customer (KYC) regulations.

Paid subscriptions are billed in advance on a monthly or annual basis. All prices are in Indian Rupees (INR) and include applicable taxes (GST). By subscribing, you authorise us to charge your payment method on a recurring basis until you cancel.

You may cancel your subscription at any time via Settings → Billing. Cancellation takes effect at the end of the current billing period. We do not provide partial refunds for unused time within a billing period, except within the 7-day money-back guarantee window for new subscriptions.

If a payment fails, we will retry the charge up to 3 times over 7 days. If payment cannot be collected, your account will be downgraded to the Free plan and your Pro data (saved screens, alert rules) will be preserved for 30 days in case you resubscribe.

We reserve the right to change our pricing. Any price increases will be communicated with at least 30 days' notice before your next renewal date, and you will have the option to cancel before the new pricing takes effect.

All content on the Viralays platform — including AI-generated analyses, screener results, financial data, charts, news summaries, and any other information — is provided for informational and educational purposes only. Nothing on Viralays constitutes investment advice, a recommendation to buy or sell any security, or a solicitation to enter into any financial transaction.

Investing in securities involves significant risk, including the possible loss of principal. Past performance of any stock or strategy discussed on the platform is not indicative of future results. You should conduct your own due diligence and consult a SEBI-registered investment adviser before making any investment decisions.

Viralays makes no representation or warranty about the accuracy, completeness, or timeliness of any data on the platform. Market data may be delayed and should not be used for time-sensitive trading decisions. Viralays is not responsible for any financial loss resulting from reliance on information provided by the platform.

All content on the Viralays platform — including but not limited to software, algorithms, AI models, UI designs, screener logic, data visualisations, written content, trademarks, and logos — is the intellectual property of Viralays Technologies Pvt. Ltd. and is protected by Indian copyright, trademark, and other intellectual property laws.

You are granted a limited licence to access and use this content for personal, non-commercial purposes only. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content from the platform without our prior written consent.

Exporting data for personal analysis is permitted within the limits of your subscription plan. Scraping, automated bulk downloading, or using our data to train AI/ML models without a separate data licence agreement is strictly prohibited and may result in account termination and legal action.

Any notes, annotations, custom screen names, or other content you create within the platform remains your property. However, by creating such content, you grant Viralays a limited licence to store, display, and process it in order to provide the service to you.

You are responsible for ensuring that any content you upload (such as portfolio CSV files) does not contain malware, violate any third-party intellectual property rights, or breach any applicable law. We reserve the right to remove content that violates these Terms.

You may not use Viralays to: (a) violate any applicable law or regulation; (b) impersonate any person or entity; (c) transmit any unsolicited commercial communications; (d) interfere with or disrupt the platform's servers, networks, or security; (e) attempt to gain unauthorised access to any part of the platform or any other systems connected to it; (f) use automated tools to scrape, crawl, or extract data beyond your plan's API limits; or (g) use the platform to manipulate markets or spread misleading financial information.

Any violation of these restrictions may result in immediate account termination without refund and may expose you to civil and criminal liability under applicable Indian law, including the Information Technology Act, 2000 and the Securities and Exchange Board of India Act, 1992.

To the maximum extent permitted by applicable law, Viralays Technologies Pvt. Ltd., its directors, employees, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, goodwill, or other intangible losses, arising from your use of the platform.

In no event shall our total aggregate liability to you for all claims arising from or related to these Terms or your use of the platform exceed the greater of (a) the amount you paid to Viralays in the 12 months preceding the claim, or (b) ₹5,000.

The platform is provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose, non-infringement, or accuracy. We do not warrant that the platform will be uninterrupted, error-free, or free of viruses.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute arising from or related to these Terms or your use of the platform shall be subject to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India.

Before initiating formal legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days. If unresolved, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with a single arbitrator mutually agreed upon by both parties, and proceedings conducted in English in Bangalore.
